(TOS) Terms Of Service Agreement And Terms Thereof:

Computer Geniuses Company will make every reasonable effort to provide you "The Client" with the best possible current site marketing advice and search engine placement depending on the selected service plan.  Computer Geniuses Company does NOT spam or cheat the search engines in any way on your behalf. Nor, will we suggest, direct or infer that you should do anything that might result in getting your site "black listed" by any major search engine.  In essence, you are contracting Computer Geniuses Company to provide you with the best possible marketing related advice based on our years of direct experience marketing on the internet. It is always very challenging launching a new commercial website and we want to do everything we can in the course of providing the selected service plan to maximize your sites marketing potential within all "Legal" options available to any website owner.   Finally, one should never conceive that "Search Engine Placement" as a site marketing "panacea" but merely and important "component" to any sound site marketing strategy.  We encourage all of clients to seek additional site marketing options as that is a sound marketing strategy for any commercial web site project.

The Website owner agrees to the following terms, or DO NOT purchase any of our services described herein this document or our website. This document constitutes the entire agreement between the "client" and Computer Geniuses Company (herein referred to as "CGC").  "Client" is specifically defined as the website owner who contracts for our search engine placement and/or domain marketing services solely on the internet. CGC reserves the right to modify this agreement with 30 day written advance notice to the client to be sent to the client via E:mail.

1) There are NO REFUNDS once services are purchased. CGC reserves the right to terminate this contract during the course of service for "incompatible" business reasons and in such case CGC will refund 100% of the service purchase price to the Client upon written notification to the Client thereof. One you have purchased the "service" there are NO refunds under any circumstances.

2) On All Plans, the client is required to sign a copy of this agreement and FAX it back to CGC @ 941-359-9979 indicating acceptance, last four numbers of the clients credit card used and signed confirmation that client actually owns or has full license to run/modify the listed domain site.  

3) CGC will have NO direct access to modify the clients site via FTP (file transports protocol) The client is responsible for transferring ALL custom coding as provided by CGC to the client's server.  CGC is not liable for any damages resulting from any and all custom coding pages provided the client in the course of providing the service. Nor, is CGC liable for any and all future business damage, loss of sales or in kind, claimed by client. Client agrees to accept any and all custom coded pages as "best effort" on the part of CGC and will hold harmless CGC for any such consequential damages resulting from custom code provided the Client.  Once CGC provides the client with custom coded site pages, the client agrees to immediately arrange to place this custom code on your website in a timely fashion and notify CGC of such @ orders-now@comcast.net which page placement on your site is completed.  Any delay on the Client's part may hold up or damage the best possible search engine placement on behalf of the Client's site.

4)The client agrees to keep backups of all custom code provided the Client as it is very easy to overwrite custom code provided the Client.

5) There term of this agreement on the "Search 2000" and "Search 2000 Agency" is limited to a maximum of 5 months from the day of purchase. Depending on your selected plan, the "Search 2000" is sold on the basis of a 3 month (90 day) campaign. On the "Search 2000 Monthly" the term is limited to a month to month contractual arrangement which may be terminated 3 days before the Client's monthly renewal date. For our Commercial clients, you may have been quoted a custom service fee depending on the level of submission optimization required on a unique basis.  

6) The client will be provided custom written home and door way pages which MUST NOT BE over-written by the customer on the client's website.  The client agrees to keep an original copy of the modified home and door way pages and in the case of the home page, the client must incorporate the exact changes made to the home page ie. (index.htm, index.html) into their respective development platforms.  CGC is not responsible for correcting this issue (after the fact) and may charge additional fees to correct this issue at the clients request if they over-write these critical modifications.  Over-writing of the customized home pages, may jeopardize the clients future search engine placement and CGC will NOT be responsible for this common oversight.

LIMITED SERVICE GUARANTEE:

THERE IS NO SPECIFIC GUARANTEE OF SEARCH ENGINE PLACEMENT UNDER ANY CIRCUMSTANCES WHATSOEVER. This is due to the highly competitive nature of search engine today and the specific keywords used on behalf of the Client. Although, every reasonable effort will be made to obtain the Client the best possible search placement position possible.  CGC does guarantee that you will receive additional search engine traffic exclusively due to our efforts as a result of increased search engine position for a link that leads to your site within maximum span of 5 months of the date of original service. OrdersNow.Com and Computer Geniuses Company does not guarantee search engine placement. Any other service claiming such should be view with great distrust. 

TERMS OF AGREEMENT:

The following agreement constitutes the complete agreement between OrdersNow.Com, a Computer Geniuses Company Web Site, herein referred to as "CGC" and the above described entity, herein referred to as "The Client." No other agreements, implied or expressed shall be binding on either party as a result of this agreement. For the purpose of this agreement, the phrases "search engine" and "search engines" shall be defined as one or more of the Web Sites described and located as follows: (CGC reserves the right to add to and or modify this list)

CGC  agrees to provide the following products and services in exchange for compensation described below:

• Up to 12 (twelve) custom "Doorway Pages" (depending on selected service plan) created for the Client, based on one or more pages provide by the customer.
• 1 (one) optimized HTML page based on the Client's "Home Page" utilizing 12 (twelve) keyword phrases requested by the customer.
• 1 (one) pre-submission search engine status report detailing the Client's current registration status and placement within the top 250 links returned for the keywords requested.
• 3 (three) post-submission search engine status reports detailing the Client's current registration status and placement within the top 250 links returned for the keywords requested.
• Monthly search engine status reports detailing the Client's current registration status and placement within the top 250 links returned for the keywords requested for the duration of service.
• Up to 20 Top Level search engine submissions.
• Up to 1500 second tier USA based and European Search Engines

All products and content produced as a result of services rendered remain the property of OrdersNow.Com and Computer Geniuses Company regardless of content or use. Unless otherwise specified, all materials issued to a company, institution, organization or individual are subject to United States and International Copyright Laws.

All materials produced by the vendor for the use of the customer shall be the sole property of the customer in exchange for payment in full. Further, monthly clients on the $199.95 (USD) Search 2000 Monthly plan (which requires that the standard Search 2000 be purchased first. Said payments shall be collected in advance of services rendered in a manner described herein. All "on-line" payments are processed by Computer Geniuses Company in accordance with current SSL Secure Encryption Transaction Protocol. Payment options is business or personal check.

Non-Disclosure & Confidentiality:

Due to the competitive nature of marketing on the internet, CGC will hold any and all client site design, marketing strategies, proprietary information in strict confidence.  Further, the client agrees not to disclose, share and/or convey custom page coding provided by CGC to the client in the course of providing this service.
